CT Classifieds — Terms of Use & Disclosures
1. The Service
The Classifieds section of this website (the "Service") is a listing venue operated by CryptoTherm Manufacturing Inc. ("CryptoTherm", "we", "us") that allows independent third parties to advertise equipment and opportunities such as generators, gas sites, and data centre opportunities. CryptoTherm provides this venue only.
2. No Brokerage, No Commissions
CryptoTherm is not a party to, and does not broker, arrange, negotiate, or facilitate, any transaction between users. We charge no commissions and no transaction fees, and we receive no compensation contingent on any sale or transaction. Any transaction you enter into is solely between you and the other party.
3. No Warranties on Third-Party Listings
Except for listings expressly marked "★ CT Listing" (and then only to the extent of any written coverage terms provided with that specific listing), all listings are third-party content provided "as is" and "as available". CryptoTherm makes no representations, warranties, or guarantees of any kind — express or implied — regarding any listing, seller, buyer, equipment, site, or opportunity, including as to accuracy, completeness, legality, condition, title, ownership, merchantability, or fitness for a particular purpose. You are solely responsible for your own due diligence, inspections, and professional advice (legal, financial, technical, environmental, and regulatory) before entering into any transaction.
4. "Verified" Badge
A "✓ Verified" badge indicates only that CryptoTherm has performed limited, preliminary diligence on the account holder (for example, confirming identity or business registration) as of the date of review. It is not an endorsement, recommendation, or guarantee of any kind, and it does not mean CryptoTherm has verified any particular listing, item, site, or claim made by that account. Circumstances change and badges may become outdated. Do not rely on a badge as a substitute for your own due diligence.
5. "CT Listing" Badge
A "★ CT Listing" badge identifies listings posted by CryptoTherm. Some CT Listings may be eligible for coverage under CryptoTherm's own written warranty or coverage terms provided with that specific listing. The badge itself is not a warranty; the existence and scope of any coverage are defined exclusively by the written agreement for that listing.
6. Accounts and Content
You are responsible for your account credentials and for all content you post. You represent that your listings are accurate, lawful, and yours to sell or offer. Prohibited content includes anything unlawful, fraudulent, misleading, infringing, or posted on behalf of another party without authority. By posting, you grant CryptoTherm a non-exclusive licence to host and display your content in connection with the Service. We may approve, reject, remove, or restrict any content or account at our sole discretion, with or without notice. Contact details you include in a listing will be displayed publicly.
7. Limitation of Liability and Release
To the maximum extent permitted by law, CryptoTherm shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenues, data, or opportunities, arising out of or relating to the Service, any listing, or any transaction or dispute between users, even if advised of the possibility of such damages. You release CryptoTherm from any claims relating to your dealings with other users. In no event shall CryptoTherm's aggregate liability relating to the Service exceed one hundred Canadian dollars (CAD $100).
8. Indemnity
You agree to indemnify and hold harmless CryptoTherm and its officers, directors, and employees from any claims, damages, and expenses (including reasonable legal fees) arising out of your listings, your use of the Service, or your breach of these terms.
9. Governing Law
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. You submit to the exclusive jurisdiction of the courts of Alberta.
10. NDAs, Confidential Information & Deal Rooms
Sellers may designate parts of a listing (such as price, location, specifications, and uploaded documents) as confidential, requiring a signed non-disclosure agreement ("NDA") and, at the seller's option, the seller's approval before disclosure. The NDA is a direct agreement between the disclosing seller and the recipient buyer; CryptoTherm is not a party to it, provides the click-wrap form as a neutral convenience only, and makes no representation that any NDA is enforceable or adequate for your needs — obtain your own legal advice. By e-signing an NDA (typing your legal name and clicking to sign) you consent to electronic execution and agree to be bound. We record the NDA version, a hash of the signed text, and your IP address, browser, and timestamp as evidence of signing. You are responsible for the confidentiality obligations you accept, and CryptoTherm is not liable for any misuse or disclosure of Confidential Information by any user.
11. Identity Verification (KYC)
Buyers may choose to complete identity verification ("KYC") through a third-party provider that may collect a government-issued ID and a facial image for biometric comparison. That processing is performed by the provider under its own terms and privacy policy; CryptoTherm does not perform facial recognition itself and does not store your biometric data. A "KYC Verified" status reflects only the provider's result (or CryptoTherm's manual review) as of the verification date and is not a guarantee of identity, creditworthiness, authority, or good faith. Sellers who enable "KYC fast-track" choose to automatically share NDA-gated information with KYC-verified buyers and are solely responsible for that choice and any resulting disclosure.
12. Seller NDAs, Business Accounts & Display Names
Sellers may upload or paste their own non-disclosure agreement, which then governs access to that seller's NDA-gated content in place of CryptoTherm's default form. CryptoTherm does not review, endorse, or guarantee the enforceability of any seller-provided NDA; each party is responsible for obtaining its own legal advice. Accounts may elect to display a business/company name instead of an individual's name; you represent that you are authorised to act for, and to display the name of, any business you list under.
13. Sharing Privileged Information with CryptoTherm
A seller may elect, per listing, to share that listing's NDA-gated information and the signed NDAs collected for it with CryptoTherm so that CryptoTherm can assist with preliminary diligence, verification, or facilitation. This sharing is optional and controlled by the seller. Where a seller enables it, the seller represents that it is entitled to share that information with CryptoTherm and that doing so is consistent with the seller's own NDAs and legal obligations. CryptoTherm will treat information received under this section as confidential and use it only to provide or improve the Service and related assistance; CryptoTherm remains a neutral venue, takes no commission, is not a party to any transaction, and provides no warranty as described elsewhere in these terms. Buyers acknowledge that information they submit in connection with a listing that has this option enabled may be reviewed by CryptoTherm on the same confidential basis.
14. Changes
We may update these terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised terms.
